FAQ for KYUDEN Holdings

Q. Why are you transitioning to a holding company structure?
In the "Strategic Vision 2035" announced in May 2025, our Group declared that we will aim for further growth based on the two pillars of our "energy service businesses," which are centered on the electric power business from our founding, and "growth businesses" in renewable energy, overseas business, ICT services, and urban development.
In order to quickly achieve this vision, it is essential that we promote autonomous business operations by each operating company. To that end, we have decided to transition to a "holding company" structure to achieve (1) Group management from the perspective of overall optimization and (2) autonomous and swift business operations.
Q. How will the group structure change with the establishment of KYUDEN Holdings?
On October 1, 2026, as the first step toward the new structure, we established a pure holding company, KYUDEN Holdings Inc. (hereinafter, "KYUDEN Holdings").
In April 2027, as the second step in the structural transition, we will transfer the hydroelectric power generation and urban development businesses held by Kyushu Electric Power to Kyuden Mirai Energy and KYUDEN Urban Development, respectively, and reorganize six major operating companies as subsidiaries directly held by KYUDEN Holdings. As the Group's major operating companies, these six companies will aim for further growth together with the Group companies (partner companies) in each business domain.
Q. What are the main roles of KYUDEN Holdings?
From a Group-wide optimization perspective, KYUDEN Holdings will play four major roles: (1) steering portfolio management, (2) fostering shared Group values, (3) communicating with stakeholders to enhance the Group's corporate value, and (4) providing governance across the entire Group. Through these roles, KYUDEN Holdings will strongly drive the Group's growth strategy.
Q. Why did you choose "KYUDEN Holdings" as the company name?
The name "KYUDEN" reflects our aspiration to be a corporation that not only cherishes the trust and achievements we have cultivated thus far under the nickname "Kyuden" (an abbreviation in Japanese for "Kyushu Electric Power"), but also evolves beyond the electric power business in Kyushu to undertake new challenges with flexible thinking for the future.
Q. Will there be any impact on shareholders?
The company will be newly (technically) listed on the Tokyo Stock Exchange Prime Market and the Fukuoka Stock Exchange, and Kyushu Electric Power will be delisted; however, because shareholders of Kyushu Electric Power will be allocated the same number of KYUDEN Holdings shares as the Kyushu Electric Power shares that they hold, there will be no impact on shareholders.
